1. General Information

These Terms of Service (“Terms”) govern access to and use of the mobile application, website and all related services (collectively, the “Service”) provided by NameApp Ltd. (“NameApp”, “we”, “us”, or “our”).

By creating an account, accessing or using the Service in any way, the user (“you” or “user”) confirms to have read, understood and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

Use of the Service may also be subject to additional policies (such as our Privacy Policy, Community Guidelines or Content Policy), which are incorporated by reference into these Terms.

2. Eligibility and Account Registration

2.1 Eligibility

The Service is intended only for:

• individuals who are at least 13 years old (or the minimum age required by local law in their country);
• users who have the legal capacity to enter into a binding contract in their jurisdiction;
• users who have not previously been suspended or banned from the Service.

Where required by applicable law, minors may only use the Service under the supervision and with the consent of a parent or legal guardian.

2.2 Account Registration

NameApp is a social media platform that allows users to create, upload, view, share and interact with short-form content, including videos, audio, images, text, effects and comments (collectively, “User Content”).

Features of the Service may include, without limitation:

• creation, editing and posting of short videos;
• adding music, sounds, filters, effects, stickers and text;
• viewing and interacting with other users’ content (likes, comments, shares, follows);
• participating in challenges, trends, hashtags and promotional campaigns;
• displaying advertising, including personalized or non-personalized ads.

We reserve the right to modify, update, suspend or discontinue the Service (or any part of it) at any time, with or without notice, subject to applicable law.

4. User Content

4.1 Responsibility for User Content

You are solely responsible for any User Content you create, upload, post, transmit, share or otherwise make available through the Service.

We do not have an obligation to pre-screen or monitor User Content. However, we reserve the right, at our sole discretion and in accordance with applicable law, to remove, restrict, block, or disable access to any User Content that:

• violates these Terms or any other policy;
• infringes third-party rights;
• is illegal, harmful or otherwise objectionable.

4.2 License Granted to NameApp

By uploading or otherwise making User Content available on or through the Service, you grant to NameApp a worldwide, non-exclusive, transferable, sublicensable, royalty-free and (to the extent permitted by law) irrevocable license to:

• use, host, store, reproduce, modify, adapt, publish, translate, distribute, display and perform your User Content;
• create derivative works from your User Content;
• use your User Content for the operation, improvement, promotion and marketing of the Service, including in connection with advertising and commercial purposes.

This license continues for as long as your User Content is protected by intellectual property rights and remains necessary for the purposes described above, unless otherwise required by applicable law.

You represent and warrant that:

• you own or otherwise control all rights to the User Content you upload;
• the User Content does not infringe any copyright, trademark, privacy, publicity, or other rights of any third party;
• you have obtained all necessary consents and permissions from any identifiable individuals or right holders appearing in your User Content.

5. Prohibited Conduct

In using the Service, you agree NOT to:

1. Illegal or harmful content
   • Post, upload, share or transmit content that is illegal, defamatory, libellous, fraudulent, misleading, or that promotes or depicts criminal activity.
2. Hate, violence and discrimination
   • Share content that incites hatred, harassment, discrimination, or violence against individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability or any other protected characteristic.
3. Sexual and explicit content
   • Distribute pornography or sexually explicit content, especially involving minors or persons appearing to be minors;
   • Share content that is sexually exploitative, abusive or non-consensual.
4. Self-harm and dangerous acts
   • Promote or glorify self-harm, suicide, eating disorders or other forms of physical injury;

5. Bullying and harassment
   • Bully, threaten, stalk, intimidate, shame or harass other users;

   • Upload content that violates any copyright, trademark or other intellectual property rights, unless you have the necessary permissions;

7. Fraud, spam and manipulation
   • Usare il Servizio per scopi di spam, phishing, truffe, schemi piramidali o altre attività fraudolente;
   • Manipolare artificialmente visualizzazioni, like, follower o altre metriche tramite bot, script, click farms o altri metodi non autentici.
8. Security violations
   • Tentare di ottenere accesso non autorizzato ad account, dispositivi, sistemi o reti;
   • Aggirare o interferire con misure di sicurezza, protezione dei contenuti o sistemi tecnici del Servizio.
9. Automated access
   • Utilizzare strumenti automatizzati (bot, scraper, crawler, plugin non autorizzati) per accedere, raccogliere dati o interagire con il Servizio, salvo esplicito consenso scritto di NameApp.

In caso di violazione, possiamo adottare misure a nostra discrezione e nei limiti di legge, tra cui: avvisi, limitazioni temporanee, rimozione di contenuti, sospensione o chiusura dell’account, segnalazione alle autorità competenti.

6. Intellectual Property Rights

6.1 Rights of NameApp

All rights, title and interest in and to the Service (excluding User Content) are owned by NameApp or its licensors, including but not limited to:

• software, source code, algorithms;
• design, layout, user interfaces;
• trademarks, logos, domain names;
• text, graphics, images, audio, video and other media elements.

These elements are protected by copyright, trademark and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile or attempt to extract source code from the Service or any related software, unless you have our prior written permission or such restriction is prohibited by applicable law.

6.2 Trademarks

All trademarks, service marks, logos and trade names displayed within the Service are the property of NameApp or third parties. Use of any of these marks without prior written authorization is strictly prohibited.

7. Privacy and Data Protection

The processing of personal data in connection with the Service is governed by our Privacy Policy, which explains how data is collected, used, stored and shared.

Use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, whether express or implied, including but not limited to:

• warranties of merchantability;
• fitness for a particular purpose;
• non-infringement;
• continuous, uninterrupted or error-free operation.

We do not warrant that:

• the Service will meet your requirements or expectations;
• any content will be accurate, complete or reliable;
• any defects or errors will be corrected;
• the Service will be free from viruses or other harmful components.

Your use of the Service is at your sole risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, NameApp, its affiliates, directors, employees, partners and licensors shall not be liable for:

  • your access to or use of (or inability to access or use) the Service;
  • any conduct or content of other users or third parties;
  • unauthorized access, use or alteration of your transmissions or content.

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law (for example, liability for fraud, gross negligence or death/personal injury caused by negligence).

11. Changes to the Service and to the Terms

We may modify or update these Terms from time to time to reflect changes in the Service, legal requirements or business needs.

When changes are made, the “Last updated” date at the top of the Terms will be revised. Where required by law, you will be notified with reasonable advance notice or asked to provide your consent.

Continued use of the Service after the effective date of the updated Terms will constitute acceptance of the new conditions. If you do not agree with the changes, you must stop using the Service and, where applicable, request deletion of your account.

You may stop using the Service at any time and, if available, deactivate or delete your account through the relevant settings or by contacting our support team.

NameApp may suspend or terminate your access to the Service, in whole or in part, if:

• you violate these Terms or other applicable policies;
• your use of the Service poses a security risk or causes potential harm to other users or to NameApp;
• this is required to comply with legal obligations, court orders or requests from competent authorities.

Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms, which by their nature should survive termination (such as licenses granted, limitations of liability and dispute resolution clauses), shall remain in full force and effect.

13. Governing Law and Jurisdiction

Unless otherwise required by mandatory law of your country of residence, these Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law rules.

Any disputes arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Milan (Italy), without prejudice to any rights granted to consumers under applicable law to bring proceedings in their country of residence.
